Terms of Service

These Terms govern access to and use of PesaView, a payment operations platform provided by Caydeesoft Solutions Limited (“Caydeesoft”, “we”, “us”). By accessing or using PesaView, you agree to these Terms on behalf of yourself or the organisation you represent. If you do not have authority to bind that organisation, do not use the service on its behalf.

1. The service

PesaView provides tools for authorised business users to monitor payment activity, manage collections and payouts, verify transactions, review exceptions, reconcile records, and generate reports. Features and integrations may vary by customer configuration, plan, and payment provider. A demonstration or evaluation does not guarantee that a particular feature, integration, or outcome will be available in production.

2. Accounts and authorised users

The customer is responsible for keeping account information accurate, protecting credentials, assigning appropriate permissions, and ensuring that each user complies with these Terms. Do not share accounts or attempt to bypass access controls. Notify us promptly of suspected unauthorised access. We may suspend access to protect the service, customer data, or other users, or to comply with law.

3. Customer responsibilities and payment data

You must have the rights, notices, consents, and other lawful grounds needed to submit data to PesaView and direct its processing. You are responsible for your payment-provider relationships, transaction instructions, customer communications, and compliance with laws applying to your business, including privacy, financial, consumer-protection, sanctions, and record-keeping laws.

You must not use PesaView to break the law, infringe others’ rights, introduce malicious code, interfere with the service, or submit data you are not authorised to provide. Do not store payment card data or highly sensitive information in free-text fields unless we have expressly agreed in writing and suitable safeguards are in place.

4. Privacy and data processing

Our Privacy Policy describes how we handle personal data. For personal data a customer submits through PesaView about its customers, employees, or other individuals, the customer generally acts as controller and Caydeesoft as processor. The customer determines the purposes and lawful basis of processing and must provide required privacy notices. Caydeesoft will process such data as described in the customer agreement and applicable data processing agreement, including by applying appropriate confidentiality, security, assistance, and deletion terms.

Each party will comply with privacy laws applicable to it. Where GDPR applies, the parties will provide the terms required by Article 28 before processor processing begins. These general Terms do not replace a required data processing agreement.

5. Fees, demonstrations, and availability

Fees, billing, service scope, support levels, and any service commitments will be set out in the applicable order form or customer agreement. Unless that agreement says otherwise, the service is provided on an “as available” basis and may be changed for maintenance, security, legal, or product reasons. We will use reasonable efforts to communicate material planned changes to customers.

6. Intellectual property and customer data

Caydeesoft and its licensors retain rights in PesaView, including its software, design, and documentation. We grant the customer a limited, non-exclusive, non-transferable right for its authorised users to use the service during the applicable service term for internal business operations. The customer retains its rights in data it submits and grants us permission to host, process, transmit, and display that data only as needed to provide, secure, and support the service and as otherwise agreed in writing.

7. Third-party services

PesaView may connect to payment providers, banks, messaging services, or other third parties chosen or configured by the customer. Those services are governed by their own terms and privacy notices. Caydeesoft is not responsible for third-party services, their availability, or their processing decisions. Customers must ensure they are authorised to connect and use them.

8. Suspension and termination

The customer may stop using PesaView in accordance with its applicable customer agreement. We may suspend or terminate access as set out in that agreement, where required by law, or where necessary to address a material security risk, misuse, or material breach. On termination, access ends and customer data will be handled under the customer agreement and applicable data processing terms, subject to legal retention requirements.

9. Disclaimers and liability

PesaView supports payment operations but does not itself provide banking, payment-provider, legal, tax, or accounting services. Customers remain responsible for reviewing transaction records, confirming instructions, and making business decisions. To the extent permitted by law, neither party is liable for indirect or consequential loss. Any liability limits, exclusions, warranties, and remedies agreed between Caydeesoft and a customer in a signed service agreement apply in place of this general statement. Nothing in these Terms excludes liability that cannot lawfully be excluded.

10. Changes to these Terms

We may update these Terms as the service or legal requirements change. We will post the current version on this page and update the effective date. Where a change materially affects an active customer, we will provide notice as required by the customer agreement or applicable law. Continued use after an effective change constitutes acceptance where permitted by law.

11. Governing law and contact

These general Terms are governed by the laws of Kenya, without limiting mandatory consumer or data-protection rights that apply in your jurisdiction. Courts in Kenya will have jurisdiction, subject to any dispute-resolution terms in a separate customer agreement and any mandatory legal rights.
